Article 1 (Purpose)
These Terms and Conditions (“Terms”) set forth the rights, obligations, and responsibilities of users in connection with the internet-based services (“Services”) provided on Goodduck (the “Goodduck” or the “Platform”), which is owned and operated by Pondmakers Co., Ltd. (the “Company”).
Article 2 (Definitions)
- “Goodduck” means a virtual place of business set up by the Company using computers and other information and communications facilities, where users may post and view content and purchase paid Services; the term is also used to refer to the business operating such cybermall.
- “User” means any member or non‑member who accesses Goodduck and receives Services in accordance with these Terms.
- “Member” means a person who registers as a member of Goodduck and may continuously use the Services provided by Goodduck. Members consist of Artist Members and General Members.
- Artist Member means a person who, upon consultation with the Company, is granted authorization to sign up for the Services and is able to sell membership products, upload posts, manage calendar events, and communicate with General Members. Artist Members may receive various promotional benefits offered by the Services. Depending on whether a membership outsourcing agreement with the Company has been executed, Artist Members are divided into (i) General Artist Members and (ii) Subscription‑Enabled Artist Members.
- General Artist Member: an artist who has completed the sign‑up procedure through the Company and uses the Services and receives the benefits of the Services, but has not executed a separate “Goodduck Membership Service Delegation Agreement.”
- Subscription‑Enabled Artist Member: an artist who has completed the same sign‑up procedure as a General Artist Member and has executed a separate contract with the Company. The obligations and use requirements applicable to Subscription‑Enabled Artist Members follow the separate contract.
- General Member means a person who may freely sign up for the Services, follow an Artist Member, participate in posting activities, and view calendar events. A General Member may follow a Subscription‑Enabled Artist Member and pay for such artist’s paid membership service and chat service, and receive the associated paid benefits.
- “Nickname” means the combination of letters and/or numbers chosen by the Member and approved by the Company for identification and use of the Services.
- “Content” means all content within Goodduck’s Services, including content (e.g., Good News, Goodduck Magazine) provided by Goodduck to Members as well as posts and comments uploaded by Members.
- “Paid Services” means various online content and ancillary services provided by the Company for a fee to General Members who purchase paid Services.
- “Chat Service” means the paid service that allows a General Member who subscribes on a recurring basis to exchange private messages with a Subscription‑Enabled Artist Member.
- “Recurring Payment” means a payment method under which charges are automatically processed at a fixed interval (monthly).
- “Primary Recurring Payment Method” means the sole payment instrument used for recurring payments; it may be changed at any time.
- “Follow (Ipdeok)” means the act by which a General Member subscribes to an Artist Member’s posts.
Article 3 (Publication, Explanation and Amendment of the Terms)
- Goodduck shall post these Terms, together with the Company’s trade name and representative’s name, business address (including the address for handling consumer complaints), telephone number, fax number, e‑mail address, business registration number, mail‑order sales report number, and personal information protection officer, in a manner readily accessible on the homepage of Pondmakers. The Terms themselves may be made available through a linked screen.
- Before a User consents to these Terms, Goodduck shall provide a separate linked screen or pop‑up to highlight key matters such as the right of withdrawal and refund conditions, and obtain the User’s confirmation.
- Goodduck may amend these Terms within the scope not violating the Act on the Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, the Framework Act on Electronic Documents and Transactions, the Electronic Financial Transactions Act, the Electronic Signature Act, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Framework Act on Consumers, and other applicable laws.
- If Goodduck amends the Terms, the effective date and reasons for amendment shall be specified and notified along with the current Terms on the initial screen from at least seven (7) days prior to the effective date through the day immediately preceding the effective date. However, amendments unfavorable to Users require at least thirty (30) days’ prior grace period; in such case, the differences between the previous and the amended Terms shall be displayed clearly.
- Amended Terms apply only to contracts concluded on or after the effective date; contracts previously concluded remain governed by the prior Terms. Notwithstanding the foregoing, if an existing User wishes the amended Terms to apply and so notifies Goodduck during the notice period under paragraph 3 and Goodduck consents, the amended Terms shall apply.
- Matters not provided herein and the interpretation of these Terms follow the Act on the Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, the consumer protection guidelines for electronic commerce set by the Korea Fair Trade Commission, and relevant laws or commercial practices.
